1. Introduction
These Terms of Business govern the relationship between SC Capital (“we”, “us”, or “our”) and the investor (“you” or “your”) in relation to property investment and acquisition opportunities offered by us. We are not authorised or regulated by the Financial Conduct Authority (FCA), and the investments we offer are not covered by the Financial Services Compensation Scheme (FSCS) or the Financial Ombudsman Service (FOS).
2. Nature of Investment
• The investment opportunities we present are unregulated and may involve direct or indirect investment in UK property.
• You acknowledge that these are high-risk investments and may not be suitable for all investors.
• Returns are not guaranteed, and capital is at risk.
3. Investor Classification
• You confirm that you are either a High Net Worth Individual or a Self-Certified Sophisticated Investor as defined under the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005.
• You agree to complete and sign the appropriate investor declaration forms before proceeding.

• We do not provide financial, tax, or legal advice.
• You are encouraged to seek independent professional advice before making any investment decision.
5. Due Diligence and Information
• We will provide relevant information about each investment opportunity, including risk factors, expected returns, and exit strategies.
• You are responsible for conducting your own due diligence.
6. Fees and Charges
• Any fees or commissions payable to us will be disclosed in the investment documentation.
• You will not be charged any hidden fees.
7. Confidentiality
• All information provided to you is confidential and must not be shared with third parties without our written consent.
8. Anti-Money Laundering (AML)
• We are committed to complying with AML regulations and may require proof of identity and source of funds before accepting any investment.
9. Limitation of Liability
• We shall not be liable for any loss or damage arising from your investment decisions.
• Our liability is limited to the fullest extent permitted by law.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
